Loccaly Terms of Service

Acceptance of Terms

These Terms of Service ("Terms") govern your use of the Loccaly mobile app and the loccaly.com website, operated by Loccaly LLC ("Loccaly," "we," "us"). By creating an account or using Loccaly, you agree to these Terms. If you don't agree, don't use Loccaly.

You must be at least 13 years old to use Loccaly. If you're under 18, you must have a parent or guardian's permission.

Description of Service

Loccaly is a hyperlocal discovery platform exclusively for independent, brick-and-mortar businesses. Consumers can browse, search, and save local businesses. Business owners can create a listing, post offers and events, and manage their business profile.

Loccaly is a directory and discovery tool. We don't operate, endorse, or guarantee the businesses listed, and we're not a party to any transaction between consumers and businesses.

Accounts

You must provide accurate information when creating an account and keep it up to date. You're responsible for all activity under your account and for keeping your login credentials secure. One account per person; business owners representing multiple businesses should contact us about managing them.

You can delete your account at any time from within the app (Account screen for consumers, Dashboard settings for business owners). This permanently deletes your account and associated data as described in our Privacy Policy.

Business Owner Terms

If you create a business listing, you confirm that you're authorized to represent that business, and that the information, photos, and other content you submit are accurate and that you have the rights to post them.

You're responsible for keeping your listing accurate and up to date. We may remove or edit a listing, offer, or event that violates these Terms, is misleading, or is otherwise inappropriate, and we may suspend or terminate a business account for repeated violations.

By uploading content, you grant Loccaly a non-exclusive, royalty-free license to display and distribute that content within the app and on loccaly.com for the purpose of operating the platform.

Consumer Conduct

Subscriptions & Payments

Business owner subscriptions and any one-time fees are billed and processed entirely outside the app, through loccaly.com using Stripe. The app itself does not process payments or display specific subscription prices.

Founding Member pricing, where offered, is locked in for as long as the business maintains continuous, active membership under the terms communicated at signup. Subscriptions renew automatically until canceled; you can cancel at any time through your account on loccaly.com or by contacting hello@loccaly.com. Fees already paid are generally non-refundable except as required by law or as otherwise stated at the time of purchase.

Intellectual Property

The Loccaly name, logo, app, and website design are owned by Loccaly LLC and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the app for its intended purpose. You may not copy, modify, reverse-engineer, or create derivative works from the app except as permitted by law.

Business owners retain ownership of the content they upload (photos, descriptions, etc.), subject to the license granted to Loccaly described above.

Disclaimers & Limitation of Liability

Loccaly is provided "as is" and "as available," without warranties of any kind, express or implied. We don't guarantee that business listing information (hours, offers, availability, etc.) is accurate, complete, or current, and we're not responsible for a consumer's experience with any listed business.

To the fullest extent permitted by law, Loccaly LLC and its owners, employees, and partners are not liable for any indirect, incidental, special, or consequential damages arising from your use of the app, or for disputes between consumers and businesses. Our total liability for any claim related to the app is limited to the amount you paid us, if any, in the 12 months before the claim arose.

Termination

We may suspend or terminate your account, with or without notice, if you violate these Terms, engage in fraudulent or harmful activity, or for any other reason we reasonably believe necessary to protect Loccaly, our users, or the public. You may stop using Loccaly and delete your account at any time.

Sections that by their nature should survive termination (Intellectual Property, Disclaimers & Limitation of Liability, Governing Law) will continue to apply after your account is closed.

Governing Law, Changes & Contact

These Terms are governed by the laws of the State of Oklahoma, without regard to conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in Tulsa County, Oklahoma.

We may update these Terms from time to time. If we make material changes, we'll notify you in the app or by email and update the effective date below. Continued use of Loccaly after a change means you accept the updated Terms.
